1. General
1 more time for entrepreneurs is a non-profit foundation, with the aim of strengthening the innovative insight of small and medium-sized enterprises (SMEs), by providing information and advice on non-commercial basis. Given the non-commercial nature, the activities of 1 more time are funded from public sources and fees of SMEs.
2. Definitions
In these conditions we mean by:
2.1. 1 more time:
The foundation 1 more time, represented by its directors, 1 more time has its registered office in Julianadorp and is registered with the Chamber of Commerce Alkmaar number 50732749
2.2. SMEs (small and medium-sized enterprises):
Businesses with fewer than 250 employees.
2.3. Client:
A natural or legal person or a group of persons or legal persons who use the services of 1 more time. Within the concept of client distinction is made between firms who receive information and advice as a target group of 1 more time (see Article 5) and other parties, usually public organizations and intermediaries, who enable 1 more time or (partly) financing to fulfil their own policy goals (see Article 6).
2.4. Agreement:
The agreement, both written and oral, in which 1 more time commits itself towards the desired activities of the client.
2.5. Innovation Advisor:
1 more time employee in charge of information and advising SMEs.
2.6. Third party:
A natural or legal person, engaged by 1 more time or by a client in the implementation of the activities.
3. Applicability
These general conditions apply to all activities which 1 more time performs for clients, whether under a written agreement, if and unless the parties have agreed otherwise in writing.
4. Conclusion of the agreement
An agreement is formed when an oral or written agreement between 1 more time and a client is created or when 1 more time actually works out for the client.
5. Activities in the context of information and advice to SMEs
In connection with the financing from public funds for these activities 1 more time maintained a ceiling on the size of service within any time frame for an individual company. 1 more time may also ask flat rate charges for participating in workshop meetings.
6. Other activities
For all other activities written agreements will be made in which, if appropriate, appointments are made regarding rates, claims and payments.
7. Intellectual Property
All rights of intellectual nature relating to 1 more time derived or by 1 more time used (computer) programs, (system) design, models, processes, research methods, reports, etc. be and stay expressly and exclusively owned by 1 more time, irrespective of the role of the client himself or a third party engaged, and regardless of the nature of the agreement with the client at its conclusion.
8. Secrecy
8.1. 1 more time will not assure the confidentiality of all the client confidential information made available.
8.2. 1 more time does not warrant that information, available provided by the client, won’t be used for other purposes than the initial target.
8.3. 1 more time shall impose the obligations under Articles 8.1 and 8.2 on third parties engaged by the compagny.
9. Evaluation
Of clients will be expected to contribute to request measurements of customer satisfaction and impact of the services of 1 more time, as well as external evaluations in the context of the possible statutory justification for the expenditure of public funds.
10. Liability
10.1. The work of 1 more time will be made by using all within 1 more time available expertise and experience. Despite all the efforts that 1 more time made to each job to the best ability and good faith to carry out, the company does not guarantee achieving the results intended by the client.
10.2. 1 more time is not liable for deficiencies in the performance of the agreement insofar as these are the result of non compliance by 1 more time with the care, expertise and professionalism which the opinions in the context of the agreement may be expected. The liability for direct damages caused by the deficiencies in its entirety will never be reimbursed.
10.3. The liability of 1 more time is limited to the provisions of the preceding paragraph. This exclusion also applies to damage suffered at the hands of third parties engaged by 1 more time.
10.4. The client indemnifies 1 more time against claims by third parties for damages resulting from the activities of 1 more time.
10.5. Any claims by the client in this sense referred shall be submitted within year after the discovery of the damage, if not available these rights of the client will be expired.
11. Applicable law and disputes
11.1. All agreements are subject to Dutch law.
11.2. Any disputes, including those by only one party are considered to be, arising in connection with or resulting from an agreement will only be submitted to the competent court in Alkmaar.
12. Taking effect
These conditions become effective on September 1, 2010
